At Transbec Auto Parts Inc ("Transbec") and Direct Auto Import Inc ("DAI"; Transbec and DAI being hereinafter collectively referred to as the "Transbec Group", "we", "us" or "our"), we are committed to protecting the privacy and security of your Personal Information (as hereinafter defined). We recognize the importance of respecting your privacy and protecting the Personal Information we collect and hold. This policy sets out how we collect, use, disclose, store and destroy Personal Information collected in person, on our website, https://www.transbec.com (the "Website"), on our social networks, and when you use our services, including through the use of cookies. This Policy also serves as a guide to exercising certain of your privacy rights. By using the Website, you acknowledge that you have read and understood this privacy policy (the "Privacy Policy") and agree to be bound by its terms and conditions.
The Privacy Policy may be amended from time to time without notice to you. Any amendments to the Privacy Policy will be posted on the Web Site by way of a notice and will be accessible to you, so that you are always aware of how and under what circumstances your Personal Information may be collected and used. Your continued use of the Web Site constitutes your acceptance of any such changes. Please check the Website periodically for any amendments.
We are committed to protecting the information you provide to us and to respecting your right to privacy. We comply with the Personal Information Protection and Electronic Documents Act, the Act respecting the protection of personal information in the private sector (Québec), as well as any other applicable legislation relating to the protection of personal information (collectively, the "Privacy Acts").
A. WHAT IS PERSONAL INFORMATION?
For the purposes of this Privacy Policy, Personal Information means any information that relates to an identifiable individual, which would allow, directly or indirectly, to identify you. This includes, but is not limited to, your name, address, telephone number, e-mail address, financial information, service usage preferences, IP address and purchase history (collectively, "Personal Information").
B. RESPONSIBILITY
We are responsible for the protection of the Personal Information we hold. In addition, we have developed and implemented policies and practices to ensure the protection of Personal Information and our compliance with Privacy Laws (the "Policies and Practices"). The Policies and Practices set out, among other things, the framework applicable to the retention and destruction of Personal Information, the roles and responsibilities of our employees throughout the Personal Information life cycle, and a process for handling complaints about the protection of Personal Information. Upon request, we will assist you in understanding the scope of the consent you have requested.
C. NATURE OF DATA COLLECTED AND INTENDED PURPOSES
We may collect Personal Information in a variety of ways, including when you create a customer account, when you log in to your account, through paper forms, e-mail, or any other means of communication. We also collect certain Personal Information through our Website, including through the use of "essential" cookies and when you contact us via the online form located on the "contact us" page of our Website's online ordering platform (orders.transbec.ca).
When you interact with us, whether via the Website, when creating a customer account, or by any other means of communication, you may be asked to provide certain information, including your first and last name, gender, date of birth, e-mail address, home address and telephone number (collectively, the "Contact Information"). In addition, when ordering online, we also collect financial information necessary to complete the transaction, including your credit card number, expiration date and billing address (collectively, the "Financial Information"). You acknowledge and agree that we may use your Contact Information to contact you in order to provide services to Groupe Transbec, including delivering orders to you and providing you with relevant information about our products and services, and that your refusal to consent to such collection or use may make it impossible to provide such services.
You hereby consent that your Contact and Financial Information (collectively, the "Information") may be shared with third party service providers acting on our behalf (the "Partners"), in accordance with Section G hereof, including in connection with payment processing, with whom we collaborate in the provision of our services or for the purposes set forth herein. Otherwise, your Contact and Financial Information will remain confidential and will not be sold or shared with other third parties.
To optimize the Website and its effectiveness, as well as for marketing and advertising purposes, we use Google Analytics and Google Ads web analytics tools, which enable us to collect usage data from the Website, including, but not limited to, your location information, operating system information and browser information, your IP address and device identifier, your browsing preferences and habits, any pages you visit on our Website, and the time, date and duration of your visit to our Website (collectively, "Usage Data"), all for the sole purpose of profiling such Usage Data, and analyzing the performance of certain advertisements and/or campaigns on the Website. This information will remain confidential and will not be sold or shared with third parties. However, statistical information derived from anonymous data may be shared with investors and other potential partners. We may from time to time retain the services of Partners for the purposes of data retention and/or analysis, or for any other purpose relating to the storage or handling of the Personal Information you provide to us, in which case such Partners will be required to treat the data with the same degree of care as we do and to use all reasonable means at their disposal to protect the Personal Information.

D. CONSENT
By using the Website and/or providing us with your Personal Information in any way, you acknowledge and consent to the collection, use and disclosure of your Personal Information for all purposes set forth herein, including those identified in Section C hereof, to the extent that such collection, use and/or disclosure is appropriate. You agree that the purposes identified herein are reasonable. In providing the Services, we will only require your consent to the collection, use or disclosure of Personal Information that is necessary for the purposes of providing the Services.
Upon reasonable notice, you may withdraw or change your consent to the collection, use and disclosure of your Personal Information at any time, subject to our legal and contractual obligations. However, such withdrawal or modification of consent may prevent you from accessing or using the Website, and may make it impossible for you to provide services, including placing an online order. Nothing herein shall be construed as authorizing you, in connection with the withdrawal or modification of consent, to impose any obligation or liability on Groupe Transbec.
E. COLLECTION OF PERSONAL INFORMATION
The collection of Personal Information is limited to that which is reasonable and necessary for the purposes identified herein. Personal Information is collected by fair and lawful means in accordance with our Policies and Practices. We reserve the right to collect Personal Information without your consent to the extent permitted by Privacy Laws.
By submitting your Personal Information, you certify that you are of the age required to consent to its collection in accordance with Privacy Laws. Otherwise, you represent that you have obtained valid and informed consent from a parent or legal guardian, in accordance with applicable legal requirements. Groupe Transbec cannot be held responsible for any misrepresentation of age or parental consent, and reserves the right to request proof of consent at any time.
F. USE, DISCLOSURE AND RETENTION OF PERSONAL INFORMATION
The use, disclosure and retention of Personal Information is limited to that which is reasonable for the purposes for which it was collected and to which you have consented. Personal Information may, however, be used for other purposes and disclosed, without your consent, to the extent permitted by Privacy Laws.
Personal information is accessible to our staff when such access is necessary for the performance of their duties. All of our employees have read this Privacy Policy and have been instructed to comply with and respect its provisions.
We retain your Personal Information only for as long as is necessary to fulfill the purposes for which it was collected, in accordance with our Policies and Practices, except where the law provides for a different retention period to meet appropriate health, legal, accounting or government notification requirements. Personal Information that is no longer required to fulfill the purposes identified herein will be destroyed, erased or made anonymous, subject to a retention period prescribed by Privacy Laws or any other applicable laws.
G. THIRD-PARTY SERVICE PROVIDERS AND PARTNERS
In the course of our business, Groupe Transbec may share certain Personal Information with third-party service providers and Partners acting on our behalf or for our account, in order to achieve the purposes set out in this Privacy Policy. To this end, we ensure that these third parties comply with privacy laws and maintain high security standards.
These third-party suppliers may then have access to your Personal Information only to the extent necessary to fulfill their contractual obligations. Categories of services covered may include, but are not limited to, hosting and maintenance of databases, systems and software, cloud computing and data storage services, and electronic payment processing services.
Prior to the transmission of any Personal Information to a third-party service provider, contractual and technical measures are put in place to ensure an adequate level of protection consistent with the principles set out in this Privacy Policy. Such contractual agreements include measures to protect the confidentiality of the Information, to ensure that it is used only for the purposes specified in the contract, and to ensure that it is destroyed once the mandate or contract has expired. Third parties are also obliged to notify us of any breach or attempted breach of obligations relating to the confidentiality of Information and must allow our Privacy Officer to carry out any necessary checks.
Some of our suppliers and partners may be located outside Quebec or Canada, notably in the United States. In such cases, we conduct a rigorous privacy impact assessment prior to any disclosure of Personal Information, in order to evaluate the risks associated with the transfer of such information. This assessment takes into account the sensitivity of the information, the purpose for which it is to be used, the safeguards in place, including contractual guarantees, and the legal regime applicable in the destination country, in particular the privacy principles in force there. Only after we have confirmed that the information will be adequately protected in accordance with generally accepted principles will the transfer be authorized.
H. ACCURACY OF PERSONAL INFORMATION
We are committed to ensuring that Personal Information is accurate, complete and up-to-date when used for the purposes identified herein.
I. SECURITY MEASURES
To protect your Personal Information, Groupe Transbec uses a secure information technology solution and takes security measures to protect your Personal Information against loss, theft, unauthorized access, disclosure, copying, use or modification, which are reasonable in light of, among other things, the sensitivity of the Personal Information, the purpose for which it is to be used, its quantity, distribution and medium. Security measures include technological measures, such as the installation of a firewall and the storage and hosting of Personal Information on an encrypted server developed by SiteAlive Inc. and Epicor Software Corporation, which is located in the United States; physical measures, such as securing premises with locks; and organizational measures, such as the adoption of our Policies and Practices. Under no circumstances is Personal Information stored on a device used for personal purposes.
Although your Information is collected and stored on servers in Canada, it may be shared, stored and/or otherwise used by members of Groupe Transbec and/or Partners located in other countries. You hereby consent to the transfer of your Personal Information to countries, provinces and states other than your country, province and state of residence. These locations may have privacy rules that differ from those in your place of residence. Your Personal Information will then be subject to the laws of that jurisdiction, and may be disclosed to governments, courts or law enforcement or regulatory agencies.
However, regardless of where your Personal Information is used, we take steps to secure your Personal Information in accordance with this Privacy Policy, Privacy Laws, and recognized data transfer mechanisms.
In addition, you agree to assume responsibility for the security of your Customer ID and/or username and password. You represent and warrant that you will not disclose this information to any other person. We strongly recommend that you log off at the end of each session to ensure the confidentiality and protection of your Personal Information.
J. RIGHT OF ACCESS
Upon written request and reasonable notice, you will be informed of the existence, use and disclosure of your Personal Information, and you will be given access to such Personal Information. Such access is free of charge, subject to reasonable charges for transcription, reproduction or transmission of such Personal Information. We will inform you of the amount of such charges, if any, prior to transcribing, reproducing or transmitting the Personal Information.
In accordance with our Policies and Practices, Personal Information will be stored either in our secure computer solution or in our secure physical file storage system. To make an access request, please contact us by e-mail at the address indicated in section B hereof. We reserve the right to withhold Personal Information from you to the extent permitted by Privacy Laws.
K. RIGHT OF RECTIFICATION
If your Personal Information is inaccurate, incomplete or imprecise, or if its collection, communication or retention is not authorized by the Privacy Laws, you may request that it be rectified at any time.
L. MANAGEMENT OF PRIVACY INCIDENTS
In the event of an incident relating to the unauthorized access, use or disclosure of Personal Information, its loss or any other breach related to its protection (a "Privacy Incident"), we undertake to take reasonable steps to reduce the risk of harm being caused and to prevent similar incidents from occurring in the future. If the Privacy Incident presents a risk of serious harm, we undertake to notify the Commission d'accès à l'information in accordance with the Privacy Laws and to notify you to the extent provided by the Privacy Laws.
In assessing the risk of harm arising from a Privacy Incident, we will consider, among other things, the sensitivity of the Personal Information involved, the anticipated consequences of its use and the likelihood that it will be used for harmful purposes. In accordance with Privacy Laws, we will consult the person responsible for the protection of Personal Information in the event of a Privacy Incident, and we will keep a register of Privacy Incidents on our premises.
M. USE OF COOKIES
A "cookie" is a small amount of data stored by a server in your browser when you visit a Web site, which memorizes certain data about your visit, including the pages you visit and the searches and/or clicks you make.
In order to improve the Website and personalize your browsing experience, we may use cookies to collect certain data. This data is not linked to your Personal Information in any way. No Personal Information is stored in these cookies. Your Web browser may be configured to accept cookies automatically. It is your responsibility to modify your settings if you do not wish to accept cookies. However, your refusal to accept cookies may affect the performance of the Website and prevent the use of certain features, such as our online shopping cart.
N. EXTERNAL LINKS
The Website may from time to time contain links to external websites. We are not responsible for the privacy policies and practices of such external websites. This Privacy Policy applies solely to Personal Information collected on our Website. In light of the foregoing, we recommend that you read and understand the privacy policies of such external Web sites before disclosing any Personal Information to third parties.
O. COMPLAINTS AND REQUESTS FOR INFORMATION

Champ d'application
Le présent rapport est le premier préparé par les entités ciaprès présentées conformément à la nouvelle Loi sur la lutte contre le travail forcé et le travail des enfants dans les chaînes d’approvisionnement (la « Loi »).
Il s’agit d’un rapport conjoint (le « Rapport ») préparé par Les Pièces d'Autos Transbec inc. (« Transbec ») et Direct Auto Importation inc. (« DAI »; Transbec et DAI étant ciaprès collectivement désignées le « Groupe Transbec ») pour l’exercice financier terminé le 31 décembre 2023 (la « Période de référence »).
Ledit Rapport présente les mesures prises au cours de la Période de référence pour prévenir et réduire le risque relatif au recours au travail forcé ou au travail des enfants à l’une ou l’autre des étapes du processus d’importation, de vente et de distribution de marchandises au Canada ou ailleurs par chacune des entités formant le Groupe Transbec.
Aucune des entités visées aux présentes n’est assujettie à des exigences de déclaration en vertu de lois sur la chaîne d’approvisionnement dans d’autres législations.
Un tel Rapport sera publié annuellement par le Groupe Transbec afin d’effectuer un suivi des mesures déployées par chacune des entités visées relativement à la réduction du risque de recours au travail forcé ou au travail des enfants dans le cadre de ses activités et de sa chaîne d’approvisionnement.
Description des entités visées
STRUCTURE
Transbec est une société constituée en vertu de la Loi canadienne sur les sociétés par actions, dont le siège social est situé en la ville de Laval, province de Québec.
DAI est une société constituée en vertu de la partie 1A de la Loi sur les compagnies (Québec) et est dorénavant en existence en vertu des dispositions de la Loi sur les sociétés par actions (Québec), dont le siège est situé en la ville de Laval, province de Québec.
Chacune des entités composant le Groupe Transbec est contrôlée, directement et indirectement, par monsieur Pierre Deaudelin, son président, et ces dernières emploient collectivement approximativement 220 employés au Canada.
ACTIVITÉS COMMERCIALES
Chacune des entités formant le Groupe Transbec exploite une entreprise de distribution et de vente en gros de pièces et d’accessoires pour véhicules automobiles.
Fondée en 1974 par monsieur Pierre Deaudelin, Transbec est l’un des plus importants distributeurs de pièces et accessoires automobiles en Amérique du Nord. Cette dernière offre un catalogue de plus de 30 000 pièces et accessoires pour toutes les marques et tous les modèles de voitures nationales et importées.
Puis, DAI, la société sœur de Transbec, offre également une vaste gamme de produits automobiles, plus précisément des jantes, des roues et des pneus.
CHAÎNES D’APPROVISIONNEMENT
Le Groupe Transbec s’efforce à maintenir une chaîne d’approvisionnement durable qui reflète sa culture d’entreprise ainsi que les valeurs et comportements prônés par son groupe et ses actionnaires.
Les principaux fournisseurs composant sa chaîne d’approvisionnement se situent majoritairement en Asie, et plus particulièrement en Chine, en Thaïlande et à Taïwan. Ces derniers offrent une vaste gamme de produits dans les marchés de l’acier et de l’aluminium, des accessoires automobiles et autres produits ancillaires.
Mesures de prévention et de réduction des risques
De manière générale, au cours de la Période de référence, le Groupe Transbec a entrepris les mesures suivantes afin de prévenir et de réduire le risque de recours au travail forcé ou au travail des enfants dans ses activités et dans ses chaînes d’approvisionnement :
Surveillance de ses fournisseurs, et ce, notamment aux termes de visites des installations de la majorité de ses fournisseurs se trouvant en Chine, lesquelles visites ont été effectuées par des membres de la haute direction de chacune des entités;
Présence d’un employé permanent à temps plein en Chine qui entretient une relation étroite avec les fournisseurs, ce qui lui permet entre autres (i) d’assurer un suivi et un contrôle de leurs activités ainsi que (ii) de visiter leurs installations; et
Relations d’affaires solides et bien établies avec les mêmes fournisseurs depuis de nombreuses années, permettant ainsi au Groupe Transbec d’avoir une connaissance approfondie des activités et des procédures de ces derniers.
Politiques et processus de diligence raisonnable
En date des présente, il n’y a pas de politiques ou de processus de diligence raisonnable en matière de travail forcé et/ou de travail des enfants en vigueur au sein du Groupe Transbec.
Risques
Le Groupe Transbec considère que le risque que le travail forcé et/ou le travail des enfants soit utilisé dans ses activités ou dans celles de ses fournisseurs (directs et indirects) est extrêmement faible.
En effet, cela s’explique par le fait que l’industrie dans laquelle opère le Groupe Transbec est majoritairement automatisée et que sa chaîne d’approvisionnement est principalement composée de fournisseurs de produits d’aluminium et d’acier, lesquels sont généralement reconnus pour leur respect des législations en matière d’âge minimum à l’embauche.
De plus, le Groupe Transbec respecte toute loi et règlementation en vigueur en matière d’emploi et tous ses employés sont embauchés conformément aux lois ainsi qu’aux règlements applicables. En outre, des vérifications afin de s’assurer que chacun des candidats a le droit de travailler sont conduites rigoureusement, ce qui réduit considérablement les risques à cet effet.
Mesures correctives entreprises
REMÉDIER À TOUT RECOURS AU TRAVAIL FORCÉ ET AU TRAVAIL DES ENFANTS
Le Groupe Transbec n’a pas identifié de risques liés au travail forcé ou au travail des enfants au sein de son organisation ou dans sa chaîne d’approvisionnement. Ainsi, aucune mesure corrective n’a été nécessaire à ce jour.
REMÉDIER AUX PERTES DE REVENUS DES FAMILLES LES PLUS VULNÉRABLES
Considérant que le Groupe Transbec n’a constaté aucune perte de revenus pour les familles les plus vulnérables résultant des mesures prises pour éliminer le recours au travail forcé ou au travail des enfants dans ses activités et ses chaînes d’approvisionnement, en date des présentes, aucune mesure n’a été entreprise à cet égard.
Formation
En date des présentes, aucune formation n’a été mise en place à l’attention des employés du Groupe Transbec afin de les sensibiliser aux risques potentiels relativement au travail forcé et au travail des enfants dans le cadre de ses activités et aux comportements à être adoptés en conséquence.
Mesures futures anticipées
Au cours des prochaines années, le Groupe Transbec a l’intention d’entreprendre les mesures suivantes :
Élaboration et mise en œuvre de matériels de formation et de sensibilisation au travail forcé et/ou au travail des enfants, le tout en vue de mobiliser davantage les membres de son organisation et de sa chaîne d’approvisionnement sur les enjeux découlant du travail forcé et du travail des enfants;
Examen des politiques et procédures de recrutement internes pour veiller à ce que le Groupe Transbec poursuive et maintienne le recrutement de son personnel de manière volontaire;
Mise en place d’un code d’éthique s’appliquant à l’ensemble des employés du Groupe Transbec et visant à définir les valeurs et les attentes en matière d’éthique ainsi qu’à détailler les normes de comportement auxquelles l’ensemble du personnel doit se conformer;
Mise en place d’un code de conduite des fournisseurs afin de mettre de l’avant l’engagement du Groupe Transbec à travailler avec des fournisseurs qui partagent sa volonté d’être socialement, éthiquement et écologiquement responsables et de détailler ses attentes à l’endroit de ses fournisseurs, notamment en ce qui concerne le respect des lois et des normes éthiques, les droits de la personne ainsi que la santé et la sécurité;
Réalisation d’une évaluation externe des risques du travail forcé et/ou du travail des enfants dans les activités et les chaînes d’approvisionnement de l’organisation.
Approbation et attestation
DÉCLARATION DU CONSEIL D’ADMINISTRATION DE CHACUNE DES ENTITÉS
Le conseil d’administration de chacune de Transbec et de DAI a approuvé le présent Rapport conformément au sous-alinéa 11 (4) b) i) de la Loi.
Conformément aux exigences de la Loi, et en particulier de son article 11, nous attestons que nous avons examiné les renseignements contenus dans le Rapport pour les entités énumérées cidessus. À notre connaissance, et après avoir exercé une diligence raisonnable, nous confirmons que les renseignements contenus dans le Rapport sont vrais, exacts et complets à tous égards importants, aux fins de l’application de la Loi, pour la Période de référence susmentionnée.
